Public Offer Agreement
for ordering, purchase, and delivery of IRONBORN™ goods

This Offer is an official and public proposal by the Seller to enter into a sales agreement (hereinafter referred to as the “Agreement”) with any individual or legal entity for the purchase of goods presented on the website ironborn.com.ua under the terms set out below.

This Offer is addressed to an unlimited number of individuals and constitutes a public offer in accordance with Articles 633 and 641 of the Civil Code of Ukraine. The terms of the Offer are identical for all potential Buyers. Acceptance of the Offer (hereinafter “Acceptance”) confirms the conclusion of the Agreement and grants the individual the status of Buyer with all rights and obligations as per Article 638 of the Civil Code of Ukraine.

By accessing the website, browsing its content, or using its services (including without prior registration or authorization), a person confirms their familiarity with the terms of this Offer.

By concluding the Agreement under the terms of this Offer (by placing an order on the website), the Buyer fully accepts all conditions related to ordering, payment, delivery, returns, liability, and other provisions of this Offer.

The Agreement is deemed concluded at the moment an order for any product placed on ironborn.com.ua.

The Offer is valid until a new version is published.

 

  1. Definitions

1.1. Public Offer (hereinafter the “Offer”) — a public proposal by the Seller addressed to an indefinite number of persons to conclude a distance sales agreement (hereinafter the “Agreement”) under the terms set out in this Offer.

1.2. Product — an object of the Agreement, presented on the website and selected by the Buyer, added to the cart and/or purchased from the Seller via distance means.

1.3. Online Store — the Seller’s website at www.ironborn.com.ua created for retail and/or wholesale transactions based on the Buyer’s acquaintance with product descriptions via the Internet.

1.4. Buyer — a capable individual of 18 years of age purchasing products for personal use, or a legal entity / sole proprietor purchasing for business purposes. Individual terms of the Agreement (including payment, delivery, returns) may be established for legal entities, sole proprietors, or wholesale buyers.

1.5. Seller — Sole Proprietor Alina Yuriivna Zhydkova (Tax ID: 3157705740), duly registered under Ukrainian law and the legal owner of the IRONBORN™ trademark and website www.ironborn.com.ua.

 

  1. Subject of the Agreement

2.1. The Seller provides the Buyer with the opportunity to remotely purchase Products offered on www.ironborn.com.ua by concluding a distance sales agreement under the terms of this Offer.

2.2. The Seller agrees to transfer ownership of the selected Products to the Buyer, who agrees to pay for and accept them under this Agreement.

2.3. The Agreement is deemed concluded (Offer accepted) when the Buyer completes the order form on the website and receives confirmation from the Seller via email, phone, social media, or messaging apps.

 

  1. Ordering and Purchasing Procedure

3.1. The Buyer places orders through the cart form on the website or via email, messenger, social media, or the phone number listed in the Contact section.

3.2. The Seller may reject an order if provided information is incomplete or appears false.

3.3. When ordering, the Buyer must provide:

Full name;

Delivery address or pickup location;

Contact phone number;

Alternative contact options;

Tax ID (for legal entities / sole proprietors);

Product details (name, quantity, code, price).

3.4. Either party may request additional information. The Seller is not responsible for order fulfillment if the Buyer fails to provide necessary information.

3.5. Acceptance of this Offer is made by placing an order through the website or via operator; Buyer data is stored in the Seller’s database.

3.6. The Buyer is responsible for the accuracy of provided information.

3.7. By accepting this Offer, the Buyer confirms:

Full agreement with its terms;

Consent to personal data processing as per Ukrainian law;

Awareness of data subject rights;

Permission for data to be shared with third parties for order fulfillment.

3.8. Product availability is maintained by the Seller. Descriptions are informative and may contain minor errors not affecting product quality. For clarification, Buyers should contact support.

3.9. If ordered goods are partially or entirely unavailable, the Seller may cancel or replace the items after notifying the Buyer and refunding or confirming alternative arrangements.

 

  1. Price, Payment, and Delivery

4.1. Prices are set by the Seller in UAH (UAH, VAT included) and may change depending on market conditions. Prices of already-paid orders cannot be changed.

4.2. In case of pricing errors, the Seller will notify the Buyer for order confirmation or cancellation.

4.3. Delivery fees are not included in the item price. Domestic deliveries are handled by Nova Poshta under their tariff plan.

4.4. International deliveries or remote regions are calculated individually and communicated to the Buyer.

4.5. Pickup is available in Kyiv at partner stores with prior confirmation. Delivery time and location are confirmed individually.

4.6. Orders are shipped within 1–3 business days after confirmation (subject to stock availability). Identity documents and shipment number are required to receive the order.

4.7. Ownership and risk pass to the Buyer upon receipt.

4.8. Payment is considered complete upon receipt of funds in the Seller’s account.

4.9. Upon receipt, the Buyer must inspect the goods in the presence of the courier. Signing the delivery document confirms no claims regarding appearance, completeness, or quantity.

 

  1. Returns and Exchanges

5.1. The Buyer may return products of proper quality within 14 calendar days if unsatisfied with size, color, shape, or other reasons unrelated to defects.

5.2. Items must be unused, with preserved presentation, packaging, labels, and proof of purchase. No markings may be placed on packaging.

5.3. Refunds are processed within 7 working days via the original payment method unless otherwise agreed. A written return request must be submitted.

5.4. Returns are at the Buyer’s expense unless due to the Seller’s fault (wrong size, model, etc.).

5.5. Goods made to individual specifications cannot be returned.

5.6. Defective goods may be returned or exchanged under consumer protection law.

5.7. Minor color variations due to screen settings are not considered defects.

5.8. In case of Seller error, full order cost and return delivery are refunded.

5.9. The Seller is not responsible for damage caused by improper use, third-party actions, or force majeure.

 

  1. Rights and Obligations

6.1. Seller obligations:

Deliver goods per the Agreement and order details;

Maintain confidentiality of Buyer’s personal data.

6.2. Seller rights:

Unilaterally modify terms or pricing via public notice.

6.3. Buyer obligations:

Review terms and pricing before ordering;

Provide accurate delivery and contact information.

 

  1. Liability

7.1. The Seller is not liable for damage due to improper use or storage.

7.2. The Seller is not liable for delays due to Buyer’s inaccurate or incomplete data.

7.3. Both parties are liable according to Ukrainian law.

7.4. Neither party is liable for non-performance due to force majeure. Proof from a competent authority must be provided.

 

  1. Data Protection

8.1. By placing an order, the Buyer consents to the processing and use of their personal data without limitation.

8.2. Data may be used to process deliveries and related communication.

8.3. The Seller may send service and marketing messages. Buyers may unsubscribe from marketing but not from service notifications.

8.4. The Seller may delegate obligations to third parties but remains responsible for fulfillment.

8.5. Cookies may be used but do not store sensitive information.

8.6. The Seller is not liable for information the Buyer shares publicly.

8.7. Calls may be recorded for service purposes, with limited access.

8.8. The Buyer is responsible for keeping personal data current.

 

  1. Validity of the Offer

9.1. This Offer is effective from the moment of acceptance and remains valid until withdrawal by the Seller.

9.2. Placing an order constitutes full agreement with the Offer. If not agreed, the user must cease using the site.

 

  1. Special Conditions

10.1. This Agreement is governed by the laws of Ukraine.

10.2. The Seller may transfer rights and obligations under this Agreement to third parties.

10.3. The Seller may amend this Agreement by publishing an updated version on the website.

10.4. Website availability may be limited due to technical reasons. The Seller is not responsible for such limitations.

10.5. Disputes should first be resolved through negotiation. If not resolved, they may be submitted to the court in accordance with Ukrainian legislation.
